Custom Instrumental License Agreement

This Custom Instrumental License Agreement ("Agreement") is made between Gregory Grindz ("Producer") and the purchaser ("Licensee") for the non-exclusive use of the instrumental ("Beat"). By purchasing or licensing the instrumental, the Licensee agrees to the terms below:

1. License Grant

Gregory Grindz grants the Licensee a non-exclusive, non-transferable license to use the Beat for commercial and non-commercial purposes. The Licensee does not own the Beat but is granted rights to use it under the conditions specified in this Agreement.

2. Permitted Uses

The Beat may be used for:

  • Recording and releasing one (1) commercial song.

  • Distribution on all major platforms (e.g., Spotify, Apple Music, YouTube, etc.) and physical copies, up to 500,000 streams and/or 10,000 unit sales.

  • Live performances, radio airplay, and music videos.

3. Prohibited Uses

The Licensee may not:

  • Resell, lease, or sublicense the Beat to any third party.

  • Claim ownership of the Beat in its original or altered form.

  • Use the Beat in multiple songs or projects without obtaining an additional license.

4. Ownership and Rights

  • Gregory Grindz retains full ownership, copyright, and publishing rights to the Beat.

  • The Licensee does not receive ownership or exclusive rights to the Beat.

5. Credit

The Licensee must credit Gregory Grindz in all public and promotional uses of the song as follows:
“Produced by Gregory Grindz”
This credit must appear in song metadata, streaming platform credits, music videos, and promotional materials.

6. Royalties and Revenue

  • If the song exceeds 500,000 streams or 10,000 unit sales, the Licensee must upgrade to an exclusive license or negotiate additional terms with Gregory Grindz.

  • The Licensee agrees to register the song with SOCAN or a similar performance rights organization, listing Gregory Grindz as the producer to ensure proper royalty collection.

  • Gregory Grindz will receive 50% of the producer’s share of publishing royalties and 3% of the song’s gross revenue for streams, sales, and other commercial uses.

7. Exclusive Licenses

If the Licensee wishes to obtain exclusive rights to the Beat, they must negotiate a separate agreement with Gregory Grindz. Exclusive rights grant full usage rights and remove the Beat from further sale or licensing.

8. Limitation of Liability

Gregory Grindz is not responsible for any legal issues arising from the use of the Beat. It is the Licensee's responsibility to ensure the song complies with all copyright and legal requirements.

9. Termination

This Agreement terminates if the Licensee breaches any terms. Upon termination, all rights revert to Gregory Grindz, and the Licensee must cease all use of the Beat.

By purchasing or licensing the Beat, the Licensee agrees to the terms outlined in this Agreement.
